Security holder exclusion

A directors and officers policy exclusion for claims brought by security holders of the organization with the assistance, participation, or encouragement of an insured director or officer. It aims to block collusive suits in which one insider uses a shareholder as a front to sue another insider. Shareholder suits instigated independently of the insureds, such as securities class actions, are not affected by it.
