Major shareholder exclusion

A provision in a Directors and Officers (D&O) liability insurance policy that excludes coverage for claims brought by a shareholder who owns a specified percentage of the company's voting stock. This exclusion prevents claims from individuals who have substantial control over the company's operations and decisions. The threshold for a major shareholder is commonly set at 10% or 15% ownership.
