Nonimputation provision

A clause in a directors and officers liability insurance policy that prevents the wrongful acts or knowledge of one insured person from being attributed to other innocent insureds. This protects innocent directors and officers from having their coverage denied due to the misconduct of another. It is particularly relevant in cases of corporate fraud or malfeasance.
