Deceptive device

Any contrivance, scheme, or artifice used to mislead or defraud, particularly in financial or securities transactions. Under Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5, the use of a deceptive device in connection with the purchase or sale of any security is prohibited. This includes false statements, omissions of material facts, or other fraudulent conduct.
