The sale of a major part of the materials, supplies, merchandise, or other inventory of an enterprise not in the ordinary course of the seller's business. This type of transaction is often subject to specific legal requirements, such as those found in Article 6 of the Uniform Commercial Code. The purpose is to protect creditors of the seller.
