Bulk transfer

A sale or transfer of a substantial part of the materials, supplies, merchandise, or other inventory of an enterprise not in the ordinary course of the transferor's business. This type of transaction is typically governed by bulk sales laws, which aim to prevent a debtor from selling off assets to avoid paying creditors. The Uniform Commercial Code formerly addressed these transfers.
