Going dark

The process by which a public company ceases to file reports with the Securities and Exchange Commission (SEC), effectively becoming a private entity. A company can go dark by delisting its stock from a national exchange and reducing its number of shareholders below a specific threshold. This action terminates the reporting obligations under Section 12(g) and Section 15(d) of the Securities Exchange Act of 1934.
