Non-reporting issuer

An issuer that is not subject to the periodic reporting requirements of the Securities Exchange Act of 1934, because it has neither registered a class of securities under Section 12 nor become obligated to report under Section 15(d) after a registered offering. Such an issuer owes investors no continuous disclosure. Under Rule 144, holders of its restricted securities must wait one year before reselling, compared with six months for securities of reporting issuers.
