A resale exemption added to the Securities Act of 1933 by the FAST Act of 2015, letting a holder other than the issuer sell securities privately to accredited investors without registration. The sale must involve no general solicitation, and the seller must make basic issuer information available to the buyer unless the issuer already reports under the Exchange Act. Securities bought this way are restricted securities in the buyer's hands and are exempt from state registration.
