Private placement

An offering of securities directly to a select group of investors, such as institutions or accredited individuals, rather than to the general public. This method allows companies to raise capital without the extensive regulatory requirements and public disclosure associated with a public offering. Such offerings are exempt from registration under the Securities Act of 1933.
