Regulation D

A set of rules promulgated by the Securities and Exchange Commission (SEC) that provides exemptions from the registration requirements of the Securities Act of 1933 for certain private offerings of securities. These exemptions allow companies to raise capital without the extensive disclosure requirements of a public offering, primarily targeting accredited investors or limited numbers of non-accredited investors. Regulation D is a common method for startups and small businesses to raise funds.
