Shelf offering

A method of registering securities with a regulatory body, such as the Securities and Exchange Commission (SEC) in the United States, that permits a company to issue them over a period of time without filing a new prospectus for each offering. This registration is typically valid for up to three years. Rule 415 of the Securities Act of 1933 governs shelf registrations.
