Preliminary prospectus

An initial version of a prospectus filed with the Securities and Exchange Commission (SEC) by a company planning a public offering of securities. Also known as a "red herring" prospectus, it contains most of the information found in the final prospectus but lacks the final offering price and effective date. It is used to gauge investor interest during the waiting period before the offering becomes effective.
