Red herring

A preliminary prospectus filed with the Securities and Exchange Commission (SEC) for a new issue of securities. It contains most of the information about the offering but omits key details like the final offering price and number of shares. The document gets its name from the mandatory, bold red-ink disclaimer on its cover stating that the registration is not yet effective and the securities cannot be sold.
