Waiting period

The interval between filing a registration statement with the Securities and Exchange Commission and the date it becomes effective, during which oral offers and the preliminary prospectus are permitted but no sales are. Under Section 8(a) of the Securities Act of 1933, a registration statement becomes effective on the 20th day after filing unless the SEC accelerates it or the filer includes a delaying legend under Rule 473.
