Shelf registration

A process permitted by the Securities and Exchange Commission (SEC) that allows a company to register a new issue of securities without having to sell the entire issue at once. The company files a single registration statement for a certain amount of securities, which can then be offered to the public over a period of up to three years. This method, governed by SEC Rule 415, provides flexibility for companies to time their offerings to market conditions.
