Golden parachute

A contractual agreement between a company and its executives that provides substantial benefits, such as severance pay, stock options, or bonuses, if the executive is terminated due to a merger or acquisition. These provisions are designed to protect executives in the event of a change in control. The terms are disclosed in proxy statements filed with the Securities and Exchange Commission.
