Shares of a company's stock issued to founders, promoters, or insiders at a price significantly lower than the public offering price. This stock compensates individuals for their efforts in establishing and developing the business. Regulatory bodies, such as the Securities and Exchange Commission, impose restrictions on its resale to protect public investors.
