Proxy

The authority given by one person to another to act on their behalf, particularly the right to vote shares of stock at a corporate meeting. The term also applies to the person authorized to act, as well as the written instrument granting the authority. Corporate law, such as the rules of the Securities and Exchange Commission (SEC), governs the solicitation and use of proxies to permit shareholders to vote without being physically present.
