Unissued stock

Shares that a corporation's charter authorizes but that it has not sold or otherwise issued. The board can issue them later, within the authorized limit, to raise capital, compensate employees or acquire businesses. Unissued shares carry no vote or dividend rights and are not counted as outstanding, and they differ from treasury stock, which was issued and later repurchased.
