Corporate resolution

A formal written document recording a binding action or decision made by a corporation's board of directors or shareholders during a meeting. These decisions become official corporate policy upon being passed and documented. Resolutions are kept in the corporation's minute book and provide evidence of authorization for actions like opening bank accounts, entering into contracts, or issuing stock.
