Corporate opportunity

A legal doctrine that prevents corporate fiduciaries, such as directors and officers, from personally taking advantage of business opportunities that rightfully belong to the corporation. If an opportunity falls within the corporation's line of business or is discovered through the use of corporate assets, the fiduciary must first offer it to the corporation. Failure to do so can result in a breach of fiduciary duty.
