Board of directors

A group of individuals elected by a corporation's shareholders to oversee the management of the company. The board is responsible for setting corporate policy, making major business decisions, and appointing and supervising the executive officers. Directors owe fiduciary duties of loyalty and care to the corporation and its shareholders.
