A section of a company's annual report (Form 10-K) or quarterly report (Form 10-Q) that provides a narrative explanation of the company's financial condition and results of operations. The MD&A offers management's perspective on past performance and future prospects, including known trends and uncertainties. It is a mandatory disclosure requirement by the Securities and Exchange Commission.
