Gap filling

The judicial or legislative process of supplying missing terms or provisions in a contract or statute that the original parties or drafters did not explicitly address. Courts often resort to custom, trade usage, or implied terms to complete incomplete agreements. The Uniform Commercial Code (UCC) provides specific rules for gap filling in contracts for the sale of goods.
