Ultra vires acts

Actions taken by a corporation or its officers that exceed the scope of the powers granted to them by the corporation's charter, bylaws, or applicable law. Such acts are considered beyond the legal authority of the entity. In some jurisdictions, contracts resulting from ultra vires acts may be deemed unenforceable or subject to legal challenge.
