Comfort letter

A letter from an issuer's independent auditors to the underwriters in a securities offering, giving negative assurance on unaudited financial information and on changes in financial items after the date of the latest audited balance sheet, and confirming the auditors' independence. Underwriters rely on it as part of the due diligence defense available to them under section 11 of the Securities Act. For public company offerings the professional standard is PCAOB AS 6101.
