A company with total annual gross revenues of less than $1.235 billion during its most recently completed fiscal year. An EGC is subject to reduced disclosure requirements under the Jumpstart Our Business Startups Act (JOBS Act) for up to five years after its initial public offering. This status aims to ease the regulatory burden on smaller companies to encourage capital formation.
