Foreign corporation

A corporation that is incorporated under the laws of a state or country other than the one in which it is currently conducting business. For example, a corporation formed in Delaware is a foreign corporation in California. Such entities must typically register with the secretary of state in each jurisdiction where they operate to legally conduct business.
