Scienter

A state of mind in which a person acts with knowledge that their actions are wrongful or illegal. This mental state is a required element to prove certain types of civil fraud or criminal offenses, demonstrating that the defendant was not acting out of ignorance or mistake. To prove securities fraud under SEC Rule 10b-5, a plaintiff must show that the defendant acted with scienter.
