Subchapter S corporation

A type of corporation that elects to pass corporate income, losses, deductions, and credits through to its shareholders for federal tax purposes, avoiding double taxation at the corporate level. Shareholders then report the income and losses on their personal income tax returns. To qualify, a corporation must meet specific IRS requirements, including having no more than 100 shareholders and only one class of stock.
