Wells Notice

A formal notification sent by a securities regulator indicating the conclusion of an investigation and the intention to bring an enforcement action against a person or firm. The letter informs the recipient of the substance of the allegations and the specific laws or rules the staff believes were violated. This procedure gives the recipient a final opportunity to submit a written statement, known as a Wells submission, arguing why charges should not be filed.
