Implied covenant of good faith and fair dealing

A legal principle that every contract includes an unstated promise that the parties will act honestly and fairly towards each other in performing and enforcing the contract. This covenant prevents parties from acting in a way that would deprive the other party of the benefits of the agreement. It is recognized in most common law jurisdictions, including the Uniform Commercial Code.
