Course of dealing

A sequence of previous conduct between parties to a particular transaction that establishes a common basis for interpreting their communications and conduct. This history of past interactions can be used to supplement or qualify the terms of their current agreement. Under the Uniform Commercial Code, a course of dealing is subordinate to express terms and course of performance, but it prevails over usage of trade.
