Misrepresentation

A false statement of a material fact made by one party that induces another party to enter into a contract. The statement must be untrue and relied upon by the other party to their detriment. Depending on the intent of the party making the false statement, misrepresentation can be innocent, negligent, or fraudulent, each carrying different legal consequences.
