Rule 504

A regulation under the Securities Act of 1933 that provides an exemption from registration requirements for certain small offerings of securities. This rule permits non-reporting companies to offer and sell up to $10 million of securities in a 12-month period. Offerings under Rule 504 are subject to state blue sky laws, which may impose additional requirements.
