Tender offer

A public offer made by one party to purchase some or all of the outstanding shares of a company's stock directly from its shareholders. The offer specifies a price and a time frame, often at a premium to the current market price, to gain control of the target company. Such offers are regulated by the Securities Exchange Act of 1934.
