Voting trust

A legal arrangement in which shareholders transfer the voting rights of their shares to a trustee, who then votes all the shares as a single block. The shareholders retain beneficial ownership, including the right to dividends and capital appreciation, and receive voting trust certificates as evidence of their interest. State corporate laws often limit the duration of these trusts, frequently to a maximum of ten years, although extensions are sometimes permitted.
