Perfect tender rule

A common law principle in contract law, particularly for the sale of goods, that requires a seller to deliver goods that conform precisely to the terms of the contract in every respect. If the goods or their delivery fail in any way to conform to the contract, the buyer may reject the entire shipment. The Uniform Commercial Code (UCC) modifies this rule for sales of goods, permitting a seller to cure a non-conforming tender within the contract time.
