Impracticability

A defense to a breach of contract claim, asserting that performance of the contract, while still technically possible, has become extremely and unreasonably difficult or expensive due to unforeseen circumstances. This doctrine applies when the basic assumption of the contract has been frustrated. It is a less stringent standard than impossibility and is recognized under the Uniform Commercial Code.
