Commercial frustration

A contract defense asserting that an unforeseen event has made the principal purpose of a contract impossible or severely impractical to achieve, even if performance itself remains physically possible. This doctrine allows a party to be excused from contractual obligations when the value of the performance has been destroyed. It differs from impossibility, which concerns the ability to perform.
