Qualified institutional buyer

An institutional investor that owns or invests on a discretionary basis at least $100 million in securities of unaffiliated issuers. This designation allows such entities to participate in private placements of securities under Rule 144A of the Securities Act of 1933. Banks must also have an audited net worth of at least $25 million to qualify.
