Necessary party

An individual or entity whose presence in a lawsuit is required for a court to grant complete relief among those already parties, or whose absence would impair their ability to protect their own interests. If a necessary party cannot be joined, the court may be unable to proceed with the case. Federal Rule of Civil Procedure 19 governs the joinder of required parties.
