Proper party

A person or entity with a genuine interest in the controversy who is allowed to join or be joined in a lawsuit, but whose absence leaves the court able to grant complete relief among the existing parties. A proper party differs from a necessary party, without whom the court cannot proceed fairly and whose absence can lead to dismissal when joinder is impossible. Permissive joinder under Federal Rule of Civil Procedure 20 governs the addition of such parties.
